A step by step guide on how iJuris™ works.

1. Start With a Form Library

Attorneys can use their own forms library or tap into iJuris' library of annotated forms. To help attorneys get up and running quickly, iJuris also provides a standardized glossary and conventions for creating and annotating their forms.

2. Create a Form from Any Word Document

To prepare a form for loading onto iJuris, the author creates text fields by simply inserting {squiggly brackets} around the variable terms in the form. These text fields will be filled in with specific client data when documents are generated from the form. No coding or programming skills are required. In fact, a simple find/replace usually is all that's necessary. Many firms build their forms library as they go. With iJuris, instead of taking the last deal and doing a find/replace for the next deal, firms can create their own forms library on the iJuris platform.

3. Load and Annotate Form

The author loads the form onto iJuris and annotates the form with instructions, information and suggested/alternative language. The library of annotations are stored in a knowledge base that grows each time a form is added to the system. The system remembers the annotations for all users each time a new form is uploaded.

4. Create Client-Specific Templates

Once the forms are on iJuris, with a simple drag and drop and a few mouse clicks, attorneys can create client-specific templates from the forms and in minutes customize the templates.

5. Generate a Document

iJuris will auto-populate documents with client data such as name, address, state of incorporation, etc. Simply fill in the remaining variable text fields to generate documents in minutes instead of hours.

6. Create Documents for Multi-Document Transactions

For multi-document transactions, such as incorporations, financings and real estate deals, iJuris provides Intelligent Folders. When a user loads the forms needed for the transaction, iJuris automatically generates a comprehensive questionnaire which, when completed, generates the entire document set, eliminating redundancies and reducing drafting time from hours to minutes. Complex, query-driven wizards are also available.

7. Set-Up Client Specific Portals

Attorneys can provide clients with online, managed self-serve service by making client-specific templates available to clients through a secure portal on the firm's website. Clients can generate routine documents such as NDAs, consulting agreements, employee offer letters, stock options, POs, sales agreements, licenses, government filing forms, etc.

8. Build in Approvals and receive Notifications of Client Activity

Attorneys can create routes for approval for specific client-generated documents; attorneys receive notifications whenever a client generates a document, and can review, edit and comment in real-time.

9. Collaborate With Clients in Real-Time

If a client has a question while working on a document, with one mouse click the client can email, instant message or call the attorney directly from iJuris. The client and attorney can share and collaborate on the document in real-time.

10. Track and Red-Line Revisions

As the document is negotiated, revised, completed and signed, it can be loaded back onto iJuris to track and red-line changes and add version notes.

11. Manage Documents Using Familiar Outlook-Style Folders

Documents are tracked and managed through completion and then are organized in Outlook-style folders that are accessible by both the attorney and client for future reference (e.g., financing or M&A due diligence).

12. Create Online Data Rooms

The document folders serve as online data rooms. All file types (documents, spreadsheets, presentations, PDFs, graphic files, etc.) and all versions live in one place. Hierarchical folders and sub-folders can be created to organize the files; and limited controlled access can be given on an as-needed basis.

13. Mine Data

The data collected by the system is also available for searching and reporting (for example, a report on the indemnification provisions of all of the Company's licenses, preferred participation rights from the last 100 deals, or a summary of the terms of all sales contracts signed during a quarter for the Board of Directors).
